Terms & Conditions
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE SCHOOLPOP PROGRAM (AS DEFINED BELOW) AND/OR USING THE SCHOOLPOP.COM SITE. By participating in the Schoolpop Program and/or using the Schoolpop.com Site, you signify your assent to these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the Schoolpop Program or use the Schoolpop.com Site. We reserve the right, at our discretion, to change, modify, add to or remove portions of these terms and conditions at any time. You agree to receive notification of modifications to this Agreement via the Schoolpop.com site. If you continue to use the Schoolpop.com Site and/or participate in the Schoolpop Program following the posting of any changes to these terms and conditions, your continued use or participation will mean you accept these changes and agree to be bound by the new terms. Please check these terms and conditions periodically for changes.
Schoolpop operates various opportunities for K-12 schools, nonprofit organizations, higher education institutions and misc. 501C3 organizations: (1) Schoolpop Online Shopping; (2) Schoolpop Store and Catalog shopping; (3) Schoolpop Visaź Credit Card, which together, shall be referred to herein as "The Schoolpop Program." The Schoolpop Program is described in more detail below.
Schoolpop operates interactive online shopping ("Schoolpop Online Shopping") that enables Schoolpop's users ("Users") to access the web sites of third party merchants ("Merchants") and to purchase certain goods or services from such Merchants' web sites. Schoolpop Online Shopping enables users to direct contributions, which are generated by their purchases and are based on referral fees paid by the Merchants, to one of Schoolpop's enrolled schools or non-profit youth organizations. The amount of the contribution will be in accordance with Schoolpop's policy in effect at the time a purchase is made. User must designate an enrolled school or non-profit youth organization to receive contributions generated by the User's purchases prior to making any such purchases; otherwise, the contributions will not be credited to the enrolled organization.
Where ORGANIZATION is inactive with SCHOOLPOP but earns contributions from purchases made by consumers, ORGANIZATION has 180 days from the last day of the quarter where the contributions were earned to activate with SCHOOLPOP to receive said contributions. If ORGANIZATION does not activate within 180 days from the last day of the quarter where the contributions were earned, ORGANIZATION forfeits all rights to these contributions. Active ORGANIZATION is defined as a school or non-profit youth organization who has registered with Schoolpop via fax, phone, or mail, assigns a volunteer to promote the program to their supporters, and agrees to the terms of said License Agreement.
To generate a contribution, a User must follow a link on the Schoolpop.com Site to the Merchant site, make a purchase, accept delivery and make payment for the purchase to the Merchant. The amount of contributions payable may vary depending on the Merchant and depending on the item or service purchased. Contributions may be subject to adjustment in the event of returns by the User and subject to other terms and conditions between Schoolpop and the Merchant. The contributions will be in accordance with the contribution percentages listed on the Schoolpop.com site at the time of the User's purchase.
Schoolpop provides, in addition to Schoolpop Online Shopping, Store and Catalog Shopping. Store and Catalog Shopping enables Users to register their Visa, MasterCard, American Express, debit and select store loyalty cards ("Cards") with Schoolpop to direct contributions generated in connection with purchases made with such registered Cards to designated enrolled schools or non-profit youth organizations. To participate, a User must register one or more Cards with Schoolpop by completing a registration form on the Schoolpop.com Site or by calling, mailing or faxing Schoolpop. Store and Catalog Shopping is provided in conjunction with various participating Merchants. In order to direct a contribution to a designated organization through Store and Catalog Shopping, a User must register a Card and make a purchase at one of the participating Merchant's store locations or via the Merchant's catalog using such registered Card. The amount of the contribution shall be subject to (1) the amount of the purchase, (2) Schoolpop's contribution policies in effect at the time the purchase is made and (3) other terms and conditions agreed upon by Schoolpop and the participating Merchant. Schoolpop shall be responsible for tracking purchases made by Users with registered Cards at a participating Merchant's store locations or via a participating Merchant's catalog, and shall be responsible for directing the resulting contributions to the designated enrolled schools or non-profit youth organizations. All Users' Card information shall be kept confidential by Schoolpop in accordance with its Privacy
Policy.
Where ORGANIZATION is inactive with SCHOOLPOP but earns contributions from purchases made by consumers, ORGANIZATION has 180 days from the last day of the quarter where the contributions were earned to activate with SCHOOLPOP to receive said contributions. Schoolpop also provides the OneCause Visa Platinum credit card. The OneCause Visa credit card enables Users to register their Visa card with Schoolpop to direct contributions generated in connection with purchases made with such registered Card to designated enrolled schools or non-profit youth organizations. To participate, a User must register their OneCause Visa credit card with Schoolpop by completing a registration form on the Schoolpop.com Site or by calling, mailing, or faxing Schoolpop. In order to direct a contribution to a designated enrolled school or non-profit youth organization with the OneCause Visa credit card, a User must register their OneCause Visa credit card with Schoolpop and make purchases. The amount of the contribution shall be subject to (1) the amount of the purchase, (2) Schoolpop's contribution policies in effect at the time of the purchase and (3) other terms and conditions agreed upon by Schoolpop and the participating merchant. Schoolpop shall be responsible for tracking purchases made by Users with the registered Card, and shall be responsible for directing the resulting contributions to the designated enrolled school or non-profit youth organization. User is not authorized to make any representations or warranties to an enrolled school or non-profit youth organization regarding the contributions or the Schoolpop Program. The contributions are made by Schoolpop and are not tax-deductible by User.
User understands that Schoolpop does not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. Schoolpop is not a party to the transactions entered into between Users and Merchants. USER AGREES THAT PARTICIPATION IN THE SCHOOLPOP PROGRAM IS AT THE SOLE RISK OF USER AND THAT THE SCHOOLPOP PROGRAM IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF TITLE, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL SCHOOLPOP OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN USERS AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO THE SCHOOLPOP.COM SITE. IN NO EVENT SHALL SCHOOLPOP NOR ITS AFFILIATES BE LIABLE TO USERS FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM THE USE OF OR THE INABILITY TO USE THE SCHOOLPOP PROGRAM OR FROM THE FAILURE TO MAKE CONTRIBUTIONSS TO THE DESIGNATED ENROLLED ORGANIZATIONS, REGARDLESS OF WHETHER SCHOOLPOP OR ITS AFFILIATES WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. USER AUTHORIZES SCHOOLPOP AND ITS AFFILIATES TO PERFORM ALL ACTIONS NECESSARY HEREUNDER, INCLUDING WITHOUT LIMITATION, THE DIRECTING OF CONTRIBUTIONSS TO AN ENROLLED ORGANIZATION DESIGNATED BY USER.
The trademarks, logos and services marks ("Marks") displayed on the Schoolpop.com Site are the property of Schoolpop and other parties. Users are prohibited from using any Marks for any purpose without the written permission of Schoolpop or such third party which may own the Marks. All information and content including any software programs available on or through the Schoolpop.com Site ("Content") is protected by copyright. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the Schoolpop.com Site for commercial or public purposes.
Users who buy products or services from Merchants will be deemed to be customers of Merchant. All rules, policies (including privacy policies) and operating procedures of Merchant will apply to Users while on such Merchant's site or local store location. Schoolpop is not responsible for information provided by Users to Merchants. Merchant and Schoolpop are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.
Access to any other Internet web site linked to the Schoolpop.com Site is at the User's own risk. User should be aware that linked web sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the Schoolpop.com Site. Schoolpop is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.
User agrees to use the Schoolpop Program in accordance with Schoolpop's policies and procedures in effect from time to time. User will not use the Schoolpop Program in a manner that is prohibited by any law, rule or regulation. These terms of use are governed by the laws of the State of Georgia without reference to its conflict of law principles and each User consents to the personal jurisdiction of the courts within the State of Georgia for any action arising out of use of the Schoolpop Program. These terms and conditions constitute the entire agreement between Schoolpop and User. Valid email addresses are required for eligibility in all Schoolpop promotions. |
